No Deal Is Easy. Skill and Experience Are Necessary.

In the first buyer selection process, the winning bidder was a Japanese-owned staffing agency. A letter of intent was signed with it and, as is customary, the seller agreed to work exclusively with the buyer to close the transaction. Due diligence was completed and the definitive purchase agreements were negotiated to the mutual satisfaction of both parties. But on the final day of signing and cash transfer, there was no contact from the buyer, the agreement was not signed and the funds did not materialize. After a reasonable period trying to reestablish communication, we reopened negotiations with our secondary buyer. We were not satisfied with the secondary buyer’s price and terms, so we started a full buyer search again. Further industry networking uncovered an acquisitive buyer out of South Bend, Indiana. It stepped up with a price and terms that rivaled the Japanese deal. This time, the parties stepped through due diligence, purchase agreement negotiation and closing without incident. On closing, all parties agreed that the new deal was meant to be and both were looking forward to working together.
